Virginia LLC Annual Report: None Required, $50 Fee Due Each Year
Virginia does not require an annual report from LLCs. It charges a $50 annual registration fee to the State Corporation Commission (SCC) instead.
The fee is due on or before the last day of the twelfth month after the month the LLC was organized, and by that date each year after. The SCC says your due date is the last day of the month your business was organized or registered. A $25 penalty is added to a late payment.
Virginia annual filing at a glance
| Item | Fee | Deadline |
|---|---|---|
| Annual report | None required | |
| Annual registration fee | $50 | Last day of anniversary month |
| Late penalty | $25 | After the due date |
| Automatic cancellation | End of the third month after the due date | |
| Reinstatement | $100 + fees and penalties | Within 5 years |
What replaces the report
There is no form to complete. The SCC mails the annual registration fee assessment to the registered agent at the registered office on file two months before the due date, and you cannot pay before you have been assessed. You can pay online in the SCC's Clerk's Information System (CIS), where the SCC says there is no processing fee for online payments, or pay by mail or in person.
If you miss the due date
The $25 penalty is added to the fee. If the fee is still unpaid on the last day of the third month after the due date, the LLC's existence is automatically canceled on that day, whether or not a notice was mailed. The SCC's example: a fee due at the end of April means cancellation if it is unpaid by the end of July. Within 5 years you can reinstate by paying a $100 reinstatement fee plus all annual registration fees and penalties that are due.
