Virginia LLC Annual Requirements: A Fee, Not a Report
Does a Virginia LLC file an annual report? No. This is the single most misunderstood fact about maintaining a Virginia LLC, so let it be said plainly: there is no informational annual report for LLCs in Virginia. Corporations file one; LLCs do not. What a Virginia LLC owes each year is an annual registration fee, a flat $50 assessed by the State Corporation Commission (SCC) under Va. Code § 13.1-1062. You are paying a fee, not filing a document about your company.
When the Annual Registration Fee Is Due
The fee is due on or before the last day of your LLC's anniversary month, the month in which the company was organized, every year after the year of formation. Nothing is owed in the calendar year you form. The SCC mails an assessment notice ahead of the deadline, but the obligation exists whether or not the notice reaches you, so treat the anniversary month as the trigger, not the envelope. For foreign LLCs the anniversary month is the month of Virginia registration, not home-state formation.
The Amount: $50, Flat
The annual registration fee is $50 for every Virginia LLC, domestic or foreign, large or small. It does not scale with revenue, members, or anything else. Note what the payment does not do: it never updates your company's record. If your registered agent or office changed, that requires a separate Statement of Change (Form LLC-1016, free); paying the fee leaves the record untouched.

- Locate your LLC and open the annual registration fee payment option.
- Pay the $50 by credit card (the processor adds roughly a 2.4 percent convenience charge, $1 minimum) or by eCheck ($2 convenience charge).
- Alternatively, return a check with the assessment statement the SCC mailed you.
- Keep the receipt; paid assessments are not refunded.
Miss It, and the Clock Starts
Two consequences, on a fixed timeline set by Va. Code § 13.1-1064:
- A $25 penalty attaches if the fee is unpaid when the due date passes, and the Commission mails notice of the assessment and of impending cancellation.
- Automatic cancellation follows if the fee is still unpaid by the last day of the third month after the due date. This is not a discretionary enforcement action; the LLC's existence is cancelled by operation of law. An LLC with a June anniversary month that ignores the fee is gone at the end of September.
Cancellation means the liability shield stops protecting anyone, which makes the $50 fee the cheapest insurance renewal you will ever pay.
