Virginia LLC Fees: The 2026 Numbers
Virginia's fee structure for LLCs is refreshingly flat: one fee to form, one fee each year, and one of the most common follow-up filings is free. All charges are paid to the State Corporation Commission (SCC), Office of the Clerk; Virginia has no Secretary of State collecting business fees. Here is the complete picture.
Formation: $100
Filing the Articles of Organization (SCC form LLC-1011) is $100, set by Va. Code § 13.1-1005(1)(a). It is a one-time charge, the same whether you file online through the Clerk's Information System (CIS) or on paper, and online filings are generally processed in real time. There is no share-based math or tiering for LLCs; every Virginia LLC pays the same $100.
The Annual Registration Fee: $50 (Not a Report)
Virginia LLCs never file an annual report. What they owe instead is an annual registration fee of $50, assessed by the SCC and due by the last day of the LLC's anniversary month each year after the year of formation. Pay late and a $25 penalty is added; leave it unpaid through the third month after the due date and the LLC is automatically cancelled by operation of law (Va. Code § 13.1-1062 and § 13.1-1064). That $0 is not a typo. Virginia charges nothing to change your registered agent or registered office; § 13.1-1005 lists no fee for the Statement of Change.
