About LLC Virginia.org
LLC Virginia.org forms Virginia LLCs for a $199 service fee plus Virginia's state fees, with the first year of Virginia registered agent service included.
What our formation service covers
- Preparation and filing of your LLC's formation document (the Articles of Organization or Virginia's equivalent) with the state.
- Delivery of the state-returned formation documents to your online account.
- Your first year of Virginia registered agent service. It renews at $99/year after 12 months.
What you pay
Virginia LLC formation: $199 our fee + $100 Virginia state filing fee = $299 due today. The first year of registered agent service is included; it renews at $99/year after 12 months.
EIN (federal tax ID) application: $99. The IRS charges no fee for an EIN. Founders with no SSN or ITIN add $99 for international processing.
State fees are shown separately from our fee. We collect them with your order and pay them to the state at cost when we file.
What it leaves out
- The state's filing fee and any mandatory state expedite fee. They are listed separately above, collected with your order and paid to the state.
- The federal EIN (tax ID number). That is a separate service: $99.
- An operating agreement.
- BOI / FinCEN beneficial-ownership reporting.
- Legal or tax advice. We are a filing service, not a law firm.
How it works
Standard Virginia processing for a new LLC takes 2–5 business days after we file.
State processing times are set by the state and can change.
What Virginia requires after formation
Does a Virginia LLC file an annual report? No. This is the single most misunderstood fact about maintaining a Virginia LLC, so let it be said plainly: there is no informational annual report for LLCs in Virginia. Corporations file one; LLCs do not. What a Virginia LLC owes each year is an annual registration fee, a flat $50 assessed by the State Corporation Commission (SCC) under Va. Code § 13.1-1062. You are paying a fee, not filing a document about your company.

Alongside the fee, Virginia requires a registered agent and registered office in the Commonwealth at all times, with the agent's business office identical to the registered office. Virginia's rules about who may serve are unusually specific; see our Virginia registered agent page for the eligibility list. Our agent service includes reminders timed to your anniversary month, so the $50 deadline never depends on your memory.

Refunds and cancelling
Registered agent service renews automatically for another year on each renewal date, unless you turn off auto-renewal or cancel in your online account, or give written notice at least 30 days before the renewal date. Renewal reminders go out about 60 days ahead.
You can cancel at any time from your online account or by contacting support. Cancelling does not by itself remove us as registered agent on the state record; a change of registered agent or resignation filing does that.
Anything already filed with the government is not refundable. Registered agent fees are not refundable once we or our partner have been appointed with the state. State fees are not refundable once paid to the state.
Common questions
Do I need an operating agreement for my Virginia LLC?
Virginia doesn't require you to file an operating agreement with the state, but you absolutely should have one. Banks require it to open a business account. Courts rely on it in disputes. Without one, Virginia's default LLC rules apply — which may not match your intentions. An Virginia-specific operating agreement template is available from us as a standalone add-on.
Does Virginia require an annual report for LLCs?
Yes, every year. The fee is $50. Missing the filing deadline can lead to late fees and eventually administrative dissolution by the State Corporation Commission (SCC).
Do I need a registered agent for my Virginia LLC?
Yes. Every LLC registered with the State Corporation Commission (SCC) is required to maintain a registered agent with a physical Virginia address. This is true from the moment you file your formation documents and remains true for as long as the LLC exists. Our service: first year included with your LLC, then $99/year.
How do I get an EIN for my Virginia LLC?
Apply directly on IRS.gov — it's free and takes about 10 minutes. You'll receive your EIN immediately after completing the online application. Never pay a third party for an EIN. We provide EIN application assistance as an optional, separately-priced service. The IRS doesn't charge for an EIN — apply at IRS.gov yourself if you prefer.
