Virginia LLC Filing Fee: $100 for Articles of Organization
Filing Articles of Organization (Form LLC1011) with the Virginia State Corporation Commission costs $100, online or by mail. Virginia files LLCs with the SCC's Clerk's Office, not the Secretary of the Commonwealth.
Virginia LLCs don't file an annual report. They pay a $50 annual registration fee by the last day of the month in which the LLC was organized.
Virginia LLC fees at a glance
| Filing | State fee | When |
|---|---|---|
| Articles of Organization (LLC1011) | $100 | Once, to form the LLC |
| Expedite (optional) | From $50 next day or $200 same day, added to the $100 | Online only; paper can't be expedited |
| Annual registration fee | $50 | Last day of the month the LLC was organized, each year after the first |
| Late penalty | $25 added to the fee | If the fee is paid after the due date |
| Change of registered agent or office (LLC1016) | No fee | Whenever either changes |
| Name reservation (SCC631, optional) | $10 | Holds a name for 120 days |
| Reinstatement | $100, plus the unpaid fees and penalties | Within 5 years of cancellation |
The SCC mails the fee assessment to the registered agent about two months before the due date, and you can't pay before you're assessed. If the fee is still unpaid at the end of the third month after the due date, the LLC is automatically canceled, with or without a mailed notice.
Where these figures come from
- The SCC's Virginia limited liability companies forms and fees page lists the $100 for Form LLC1011, the $10 name reservation and the free agent change.
- Va. Code § 13.1-1005 sets the $100 filing fee, and § 13.1-1011 covers the Articles.
- § 13.1-1062 and § 13.1-1064 set the $50 fee and the $25 penalty; the SCC's annual registration fees FAQ explains the process.
- § 13.1-1050.2 covers automatic cancellation, and the SCC's expedited services page lists expedite options.
How to file Virginia Articles of Organization
- Choose a name with "limited company," "limited liability company," "L.C.," "LC," "L.L.C." or "LLC" that is distinguishable from names on the Clerk's records. A free name availability check is in the Clerk's Information System (CIS).
- Name a registered agent. The LLC can't be its own agent. An individual must be a Virginia resident who is a member or manager of the LLC (or a member of the Virginia State Bar) with a business office at the registered office; a business entity authorized in Virginia can also serve. The registered office must be a physical Virginia address, not a mail drop or virtual office.
- Complete Form LLC1011. It covers the name, a physical principal office, the agent, the registered office and the organizer's signature, and it asks for no member list.
- File and pay. Online, use CIS at cis.scc.virginia.gov. By mail, send the form with a check payable to the State Corporation Commission to P.O. Box 1197, Richmond, VA 23218-1197.
- Note your fee month. The annual $50 is due on the last day of the month your LLC was organized.
